By accessing or using our websites, dashboards, APIs, or any materials we publish (collectively, the Site), you agree to be bound by these Terms & Conditions (the Terms). If you use Omnio's paid or enterprise services, any separate contract (e.g., Master Services Agreement, Order Form, DPA) (collectively, Service Contracts) governs those services. If there is a conflict between these Terms and a Service Contract, the Service Contract controls for the covered services.
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Site. If you access on behalf of an organization, you represent that you are authorized to bind that organization and "you" includes that organization.
The Site may describe services only offered under the Omnio business line; we do not sell physical products. Information on the Site is for general information and marketing purposes and does not by itself create a contract, warranty, or binding offer. Any purchase or subscription requires a separate Service Contract.
You are responsible for maintaining the confidentiality of credentials and for all activities under your account. Notify us promptly of any unauthorized use or security incident.
You will not: (a) misuse the Site or attempt to access non‑public areas; (b) probe, scan, or test vulnerabilities; (c) interfere with or disrupt the Site or servers; (d) reverse engineer, decompile, or attempt to derive source code except to the extent permitted by law; (e) use the Site to violate law or third‑party rights (including IP, privacy, publicity); (f) submit malware, harmful code, or automated spam; (g) falsely imply affiliation with TrueTitle AI; (h) bypass technical protections; (i) use scraping or automated collection except in compliance with robots.txt and our written permission.
The Site and Omnio services may include AI‑generated content or enable you to generate outputs (Outputs). You understand and agree that: (a) Outputs may be inaccurate, incomplete, or reflect bias; (b) you must review and validate Outputs before relying on them; (c) Outputs are provided "as is" without warranties; (d) you are responsible for complying with applicable laws (including IP and data protection) when using Outputs; and (e) you will not use Outputs to create unlawful or harmful content. Unless otherwise stated in a Service Contract, as between you and us, you own your lawfully‑obtained Outputs, subject to your compliance with these Terms and third‑party rights.
The Site and all content we publish (text, graphics, logos, UI, software, documentation, datasets, and other materials) are owned by TrueTitle AI or its licensors and are protected by intellectual property laws. Except as permitted by these Terms or applicable law, you may not use, copy, reproduce, modify, distribute, display, or create derivative works without our prior written consent.
We grant you a revocable, non‑exclusive, non‑transferable, limited license to access and use the Site for your internal business evaluation and in compliance with these Terms.
If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use them without restriction or compensation.
Some features may include open‑source software governed by their own licenses. To the extent of conflict, those licenses control for the relevant components.
If you upload, post, or otherwise provide content to the Site (User Content): (a) you represent you have all necessary rights to do so; (b) you grant us a worldwide, royalty‑free license to host, display, and use the User Content solely to operate and improve the Site and services; and (c) you must not submit content that is illegal, infringing, defamatory, or otherwise prohibited by law or these Terms. For processing of personal data in User Content, see our Privacy Policy and, where applicable, your DPA with us.
The Site may link to or integrate with third‑party websites, products, or services. We do not control and are not responsible for third‑party content or practices. Your use of them is at your own risk and subject to their terms and policies.
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF TITLE, NON‑INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR‑FREE OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. INFORMATION ON THE SITE MAY CHANGE WITHOUT NOTICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRUETITLE AI OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID (IF ANY) TO ACCESS THE SITE IN THE 12 MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THESE MAY NOT APPLY TO YOU.
You will defend, indemnify, and hold harmless TrueTitle AI and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third‑party rights.
We may update these Terms and the Site at any time. If we make material changes, we will post the updated Terms and update the "Last updated" date. Changes are effective when posted unless required otherwise by law. We may modify, suspend, or discontinue any part of the Site at any time without liability.
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your license under Section 6.2 ends immediately.
You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. embargoes or sanctions, and that you will not use the Site in violation of applicable export control or sanctions laws.
If you believe content on the Site infringes your copyright, send a notice to legal@truetitleai.com with: (a) your signature; (b) identification of the copyrighted work and infringing material; (c) your contact information; (d) a statement of good‑faith belief; and (e) a statement under penalty of perjury that your notice is accurate and you are the copyright owner or authorized to act on their behalf.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict‑of‑law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for any dispute arising from or relating to these Terms or the Site.
These Terms are the entire agreement between you and us regarding Site use and supersede prior or contemporaneous understandings on this subject.
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Our failure to enforce a provision is not a waiver of our right to do so later.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
By using the Site, you consent to receive communications from us electronically (e.g., via email or notices on the Site).
